Terms & Conditions
1. Membership Overview
RidgeDown provides subscription-based roof monitoring, condition assessment, and preventative maintenance services.

Membership is designed to help identify issues early, extend the lifespan of residential roofing systems, and reduce the risk of unexpected repair or replacement costs.
RidgeDown is a service-based membership program and is not a construction contract unless otherwise specified in a separate written agreement.
2. Service Scope
Included Services
RidgeDown membership provides the following services on a recurring basis:

Periodic roof condition assessments and written reports

Routine preventative maintenance intended to extend roof lifespan
-
Monitoring of visible wear, deterioration, and potential failure points
-
Documentation of roof condition for homeowner records
Limited Maintenance Services
RidgeDown may perform minor maintenance services at its sole discretion, including but not limited to:

Sealing minor exposed fasteners or small penetrations
-
Limited caulking or sealing at vents, flashing, or similar components
-
Removal of debris from accessible drainage areas
-
Identification and early-stage mitigation of isolated issues
**All maintenance is limited in scope and intended for preventative purposes only.
Excluded Services
The following are expressly excluded from membership services:

Roof replacement, re-roofing, or system upgrades
-
Structural repairs, including decking or framing
-
Repairs involving widespread material failure or active leaks requiring significant intervention
-
Storm damage repair, insurance claim work, or emergency restoration services
-
Interior damage, water intrusion remediation, or mold-related issues
-
Any work requiring permits, engineering, or code-driven reconstruction
Scope Limitation
RidgeDown membership is strictly limited to preventative maintenance and monitoring services.
Any condition requiring:

Significant material replacement
-
Structural modification
-
Specialized equipment
-
Extended labor beyond routine service
shall be deemed outside the scope of membership and will require a separate written estimate and customer approval.
No Guarantee of Prevention
RidgeDown does not guarantee that maintenance services will prevent leaks, failures, or the need for future repairs or replacement.
All services are performed on a best-effort basis to reduce risk and extend roof life.
Additional Work
Any services outside the defined scope may be offered by RidgeDown under a separate agreement, at additional cost, and subject to availability.
3. Credit System
Monthly Accrual

Core Plan: $15/month
-
Complete Plan: $25/month
Cap
Maximum credit accumulation: $3,000 per property
Usage Limits
Credits may be applied to up to 25% of the total roof replacement cost.
Eligibility
-
Active membership is required to earn and use credits
-
Credits are forfeited if membership lapses more than 30 days
**RidgeDown may, at its sole discretion, allow reinstatement without forfeiture under limited circumstances.
Restrictions
-
Valid only for full roof replacements completed by RidgeDown
-
No cash value
-
Not redeemable for partial repairs or maintenance
-
Non-transferable without written approval
Modification Clause
RidgeDown reserves the right to modify, suspend, or discontinue the credit system at any time with 30 days’ notice.
Credits are promotional in nature and do not represent cash, stored value, or financial accounts
4. Billing Terms

Monthly subscription billing
-
Auto-pay required (card or ACH)
-
Charges occur on enrollment anniversary date
-
No prorated refunds
**Failure to maintain valid payment may result in suspension or cancellation of membership.
5. Cancellation Policy
-
Membership may be canceled at any time
-
Cancellation is effective at the end of the current billing cycle
-
No refunds for partial billing periods
6. Transfer Policy
-
Transfer is subject to RidgeDown approval and property re-evaluation
-
Membership may be transferred upon sale of the property with approval
-
Alternatively, membership may be canceled at closing
7. Limitations of Liability
RidgeDown provides preventative maintenance and monitoring services only.

To the fullest extent permitted by law, RidgeDown shall not be liable for:

Pre-existing conditions or undisclosed damage
-
Structural defects, deterioration, or failures
-
Roof leaks, water intrusion, or interior damage
-
Storm, wind, hail, or weather-related damage
-
Manufacturer defects or material failures
-
Damage caused by third parties
No Guarantee or Warranty
RidgeDown makes no guarantees or warranties regarding:
-
Roof lifespan
-
Performance
-
Prevention of leaks or failures
No Insurance
RidgeDown is not an insurance provider and does not provide insurance coverage or warranties.
Limitation of Damages
RidgeDown shall not be liable for:
-
Indirect or consequential damages
-
Loss of property value
-
Loss of use
-
Secondary damages
Maximum Liability
RidgeDown’s total liability shall not exceed:
Total membership fees paid in the preceding twelve (12) months
Acknowledgment
By enrolling, the member acknowledges and agrees to these limitations.
8. Insurance Disclaimer
Member acknowledges that RidgeDown is not an insurance provider and this membership is not an insurance policy or warranty.
9. Governing Law
These terms are governed by the laws of the State of Florida.

This agreement constitutes a subscription service agreement, not a construction contract, unless otherwise specified in a separate written agreement.
10. Property Access & Service Conditions
Member agrees to provide RidgeDown with reasonable access to the property for the purpose of performing services.

RidgeDown shall not be responsible for failure to perform services due to:

Inaccessible roof conditions
-
Locked gates, animals, or unsafe conditions
-
Weather conditions or active storm events
-
Any condition deemed unsafe by RidgeDown personnel
RidgeDown reserves the right to reschedule or decline service if conditions are unsafe or unsuitable.
11. Assessment & Reporting Disclaimer
All roof assessments, reports, and documentation provided by RidgeDown are:

Visual and non-invasive in nature
-
Based on observable conditions at the time of service
RidgeDown does not:
-
Guarantee the discovery of all defects or hidden conditions
-
Provide engineering evaluations
-
Provide code compliance certifications
Reports are for informational purposes only and should not be relied upon as a substitute for a full roof inspection, engineering analysis, or insurance evaluation.
12. Documentation & Media Use
RidgeDown may collect photos, videos, and documentation of the property during service visits.
Member grants RidgeDown the right to:

Use such materials for internal records
-
Use non-identifiable images for marketing, training, or promotional purposes
No personal identifying information (name, address, etc.) will be publicly disclosed without consent.
13. Force Majeure
RidgeDown shall not be liable for delays or failure to perform services due to events beyond its control, including but not limited to:
-
Hurricanes, tropical storms, or severe weather
-
Acts of God
-
Labor shortages
-
Material shortages
-
Government actions or restrictions
Service schedules may be delayed or adjusted as necessary under such conditions.
14. Independent Contractor Status
RidgeDown operates as an independent contractor and is not an agent, insurer, or representative of any manufacturer, insurance company, or third-party entity.
15. Entire Agreement
These Terms & Conditions constitute the entire agreement between RidgeDown and the Member.

No verbal statements or prior representations shall modify these terms unless in writing.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
